2003 Shutdown

I also have the same problem and took care to reformat
hard drive, install a fresh copy of Win XP Pro and then
Office 2003, so I cn rule out conflict with 2002. Happens
on 3/3 machines running XP Pro but not on the Win2000
server machine.
