access 97-"can't start; no lic.on this machine"

I have recently upgraded to winxp.home ed. I am trying to
re-install my access 97 and I get: "microsoft access
can't start because there is no license for it on this
machine."
I have installed & uninstalled several times, I opened a
new ms office 97 folder, within' the current office
folder because I didn't want to over write new with old.
I use the product key.Help !
