cannot install SP-1

I've installed Office 2002 Pro w/ FrontPage & I all ready
have Works Suite 2004. All those components, including
Word 2002 have been updated at Office online update. When
trying to install Office 2002 SP-1 I get the
message "installation unsuccessful". I explored the CD to
find the exact path to "PROPLUS.MSI and that didn't help
either. Must I remove Works 2004 first?
