Delegating tasks with Outlook

I have a Server and 2 Workstations. I would like the ability to do the
following:

1. Delegate tasks from my Workstation to someone on the other
Workstation.

2. Share folders so that two people can work on the same email folder.
Think I can do that with Net folder sharing??

Do I really need Exchange to do this or can I just use 2 versions of
Outlook on each PC? I will most likely be using Outlook 2003 beta at
first.

If I have to go to Exchange (which I have) is it complex to set up?
