Functionally, a upgrade and full retail version of the same edition of
Office 2003 is identical. For a upgrade version you need to have installed
or have the installation CD for one of the qualifying products. Products
qualifying for a Office 2003 upgrade are listed here:

If you choose an upgrade, the qualifying product CD becomes part of your
Office license and must be retained. You will need the qualifying product
CD if you ever need to re-install the upgrade version. The qualifying
product does not need to be installed in your computer, you just need the CD
during installation.
