Does upgrade version qualify as a "Retail" version

I am wondering if I were to purchase the upgrade version of Office 2007 SBE
to install on a new computer that contains MS Works, will it also allow me to
install on a second, portable computer used by the same primary user.

I see in the EULA that "Retail" versions of office allow this, but I do not
know if the upgrade version is considered a "Retail" version of the software.

Your "qualifying" software would need to be on both units, as the final
license subsumes the qualifying software license and the Office 2007
license into one unit.

Yes.

However, there have been reports of problems using MS Works {I think version
9} as a qualifying product even though it is a qualifying product. If you
have a problem, Microsoft has a fix (I do not know the details).

You second computer will also need a qualifying product. The qualifying
product does not need to be installed. You just need the qualifying product
installation disc.

Yes as long as you can find a qualifying product disk to enable installation
onto the portable device. It is a retail version. If your portable computer
also has Works installed, you are good to go. If not you will need to find
a physical qualifying product disk from somewhere.
