Error 25506

Trying to upgrade from Excel 97 to Excel 2002. At end of
installation message appears: Error 25506. MS Excel 2002
requires updated system files not detected on your
computer. You must install the system file update prior to
installing Excel.c:\windows\system\ASYCFILT.DLL is
____they require _____.

I'm up to date with Windows updates at the MS website.
Reloaded Windows 98 and still get message. Any ideas?
