Excel 2004 can't open file

I have a file that was created in Excel X and works great in Excel X but
will not work in Excel 2004. Has anyone else seen this or found the cause?

What does "will not work in Excel 2004" mean? Does it open at all? Give
an error? Crash XL?

Can you open it with XL v.X?
