Excel.exe error

I frequently receive the following error when opening
shared worksheets.

Microosft Excel - Filename:Excel.exe - Application Error
The instruction at "0x77fcbacc" referenced memory
at "0xc0ff007d". The memory could not be "read". Click on
OK to terminate the program

Can someone please tell me why this error keeps on
happening. I have plenty hdd space available the machine
has 256mb of ram it's running W2k with latest SP and
office 2000 with sp3.
