excel not ending

I am running Windows XP, Excel and Word 2002

I have a table in excel and am using word's mail merge to
inport it into a document. When I close word and excel
EXCEL.EXE is still in processes in the task manager. For
some reason if I open the excel file in read-only mode it
will end excel correctly. Any help would be appreciated.

and which connection method are you using to link up to the
Excel data? DDE, ODBC or OLE DB?
