Excel out of Memory

I have excel 2003, when i upgraded the 2007 compatibility patch on the PC
and tried to open the 2007 file.

i get Error Excel out of memory.
Then when i click ok. Error Appears Converter has failed.

Any ideas

Got this resolved, permissions issue on the installation folder.

c:\program Files\MSECache
