Format Cells Command not displaying

I have created a simple excel spreedsheet in XP, with no
formatting or XP Specific feature (that I am aware of).
When using this file with Excel 97, I can not use the
Format menu, Cells command. I can choose it, but the
dialog box does not display nor is there an error message-
nothing happens.

I have tried this on three unrealted PCs one running
Win98se, Win2000, & Win XP. So I realitvely certain that
it is not OS realted.

Any thoughts?
