How to stop someone from copying and selling custom database?

Someone wants to hire me to write a custom database for him. I agreed on the
condition that he cant give it to others with out my permission.

How can I make it that he wont go ahead and copy and sell it to other people?

When he wants to hire you I assume he's paying for the database right? From
that point on he becomes the owner of the db with the freedom to do what he
wants with it. The code however has intellectual ownership which belongs to
you. You can sell that as well giving up any rights.

In these cases it's always based on trust. If you don't want any changes
made create an MDE file which won't have the ability to access the VBA
modules.

Everyone has thoughts about this, not only the developers but the clients
also :)

He does not necessarily become the owner of the database structure. It
depends on how the contract is written and what rights are granted to whom.

The purchaser may be purchasing a lease of the software for a specified
period, or the right to use the software in perpetuity with no right of
resale, ...
