I just bought Office 2003 Upgrade and installed it on my machine I was
using ofice XP. I would like to give office XP (I don't use it anymore) to
my brother inlaw. Can this be done ? and what do I have to do so he can
install it on his machine ?

TIA

No,

Since you bought an upgrade at a reduced price compared to a full copy your
license to use Office XP was subsumed as part of the license for Office 2003
(hence it was cheaper then a full version)- so you no longer have a license
to use or sell on or give away for Office XP, it is now part of your Office
2003 license.

You may use whatever version is an allowed/qualifying product to perform
your upgrade with. This product then no longer has a license to use it. If
you have another product that was not used in the upgrade then you can do
with this what you wish within the terms of the licensing for that product.

Are they both full versions? Your upgrade is tied to the version that is
being upgraded. If upgraded from Xp to 2003 but you XP was an upgrade from
2000. You can't give away 2000. Now about giving away your XP upgrade than
you'll have to read the EULA as well as the upgrade requirements of 2003. An
upgrade always has to have a full tied to it somewhere.
