License transfer question.

Sorry, posted this one on the updates forum, I think it would be best here.

The Microsoft website tends to refer you to the EULA with regards to license
transfer rather than being 'absolute' in itself. It's clear that retail
licenses can be transfered to a 3rd party as long as it is removed from the
original user's machine. Presumably this true of retail upgrade licenses?

I have a fully licensed version retail version of Microsoft Office 97 SBE
which offers a valid upgrade path to Office 2003, as far as I can see, the
Office 2003 EULA (which I have downloaded) permits the transfer of a retail
license to a 3rd party, would I therefore be able to buy and transfer a
retail upgrade license as long as all conditions of the EULA are complied
with (original user removes the software upgrade, full transfer of all media,
I agree to the EULA etc.)?

Having studied the Office 2003 EULA this seems to be the case, at least
nothing prohibits it, I feel that this clearly is the case, but licensing can
be a bit 'vague' so I thought I'd ask.

I did something similar some time ago with Macromedia software. Macromedia
asked me to obtain a signed letter of "Transfer of license" from the original
owner (which I did) and then okay the transfer. There doesn't appear to be
this requirement in the Microsoft EULA.

Am I ok?

All sorted, I found a phone number for Microsoft UK's licensing department
and had a helpful chat with someone there. Everything's legit and fine, so
all sorted.
