Licensing question - Office Std Upgrade from Works

Hello all.

I have a PC bought from Dell which came with the following office software
(there was a MS promotion involving the "Natural Keyboard", hence the odd
configuration) :

MS Word 97 OEM
MS Office 97 Standard Upgrade (Boxed retail version)

Now, the predictable question... Now I am looking at replacing that PC, what
do I need to buy in order to continue using the (non-OEM) Office upgrade?
The box lists "any version of Word, Excel or Works", but having tried this,
the Office install doesn't recognise an installation of Works 2000 OEM.

So, the questions :

1. Can I use the Office 97 upgrade with a newer Works license (OEM or
retail) ?

2. If no to the above, is there any way of legally using the Office 97
Upgrade or am I back to square one?

You need a version of Word, Excel or Words that is older than Office
97. There are some on eBay.
