Hi Farid,
MS Office XP(2002) is one version older than Office 2003
so MS would consider it a 'downgrade' even though the
XP edition you have contains more programs than the
2003 edition. Office XP Professional Special Edition is
an upgrade edition and requires either Office 97 or
Office 2000 to be preinstalled or that you have the CD
for one of those versions when you install. It will not
recognize Office 2003 as an upgrade qualifier.
You can use applications from both Office XP and
Office 2003 together, although if you're not installing
the older one first you may need to do a repair/reinstall
of Office 2003 after installing Office XP/2002. This
article has additional details on running multiple versions:

Also note that as Office 2003 Basic Edition is an OEM
edition, if it has been activated on your present computer
it cannot be moved to and then activated on another one.
========
I have MS Office 2003 Basic edition pre-installed on my
PC. Can I now upgrade to MS Office XP Professional
Special Edition Version 2002.
Any help will be apreciated as the PC manufacturers
cannot advise. >>
