MS Project 98 questions

I have two issues. First off, can we upgrade from MS
Project 98 directly to MS Project 2003? If so, how do we
go about purchasing it to put on more than one computer?
(For an office). Second of all, I have upgraded to
Windows XP on my computer and now I cannot "Save As" my
MS Project. It says "not enough memory to display save
dialog box". I have never received this response
before. Is it not compatible with Windows XP?
Can someone help me?

regarding Microsoft's upgrade policy.

To enable putting it on more than one computer will involve procuring
the the relevant number of licenses.
