(Using Office XP)

In my c:\Program Files\Common Files\Microsoft Shared\Proof folder there is a
folder called "1033" that contains a single file "msgr3en.dll". The version
number is 3.1.0.2303.

There is a (later?) version (3.1.0.2415) of this file in the
c:\windows\srchasst and c:\windows\system32\dllcache folders.

What is this file for and why are there two versions?

This file is used for grammar checks. I believe that the
different file versions is the cause of a change in the
way Microsoft updates the dll files. As so many program's
use the dll files it's hard to make them compatible for
all those program's. Since diskspace isn't an issue
anymore it better just to update a specific dll for just
that program which has a problem and let the other
program's stick with the older one.
