I will be upgrading my PC so my question is, will I have to call MS to
re-activate? Thanks.

Re-activate what? If you have already activated Office, and then you elect
to upgrade your OS, you should not be prompted to activate Office again.

Actually I'm building a new PC and doing a clean install of XP Pro which is
what I use now on my current system that I'm typing on. Thanks for your
reply.

If it is a clean install, then you will most likely be prompted to activate.
Use the telephone method if the Internet method does not work.
