Office 2K - SP 3 installation unsuccessfull

I have:
windows XP - all Updates
MS Office 2K:

SR 1a >SP 2 *SP 3

while it did download the SP3 file I receive
a "installation unsuccessful" error when I run the online
version and cannot install the downloadable version at
all. Is there anyone that may have worked through this
issue or can help me out.

...NOTE have also tried this on a Windows 2K pc also
with the same results.
