How do I upgrade Office 97 to run on Windows XP?

Not sure where you got the impression an upgrade is required. Office 97
works just fine on XP. There are some service releases (SR-2 I recall
was the last, but I might be wrong on that recollection) issued in the
latter part of the last century for this software which you should try
to find and use, if possible. I think there are some very minor issues
with Access which are documented, as I recall, in Microsoft's Knowledge
Base. Read if this aspect is important to you.

Thanks. CD won't load, and MS Help Desk says it is incompatible with XP

Office 97 will load just fine on Windows XP. It could be a problem with
your particular CD, OR your CD-drive OR your Anti-virus OR ..... So
perhaps posting the reason and error message you get when you try to
install will help people assist you.
