Open a spreadsheet with links, don't update and get # values

I'm opening a spreadsheet with links to another in the
formulas and I'm offered the option of updade or no
update. When I choose no update I get a # value error.
One of the formula's is =SUMIF('C:\Documents and
Settings\milesg\Desktop\[Split.xls]Worksheet'!
$A:$A,B$3,'C:\Documents and
Settings\milesg\Desktop\[Split.xls]Worksheet'!
$K:$K)/1000000

The spreadsheet was created in 97 and I've had this in
both 2002 and 2003.
