OSA.exe keeps CPU at 100%

Not sure what has suddenly started this,
Recently used MS program to delete old uninstall directories or could MS
Defender program cause this ?

On bootup a program called OSA.exe gets loaded and the CPU stays around 100%
for that program. If I use task manger and unload it CPU goes right to 99%
idle

Using like Excel if clicking on help it says office assistant is not
installed and can be found on office CD which I do not find such a program.

I even uninstalled office and installed again and ran SP3 but that does not
fix why OSA runs CPU at 1005 or why help does not work

Also not sure if its tied in but using MS outlook express now if there are
URLs in a received email and I click on a URL it will not load IE 6.0 and
this fault started when OSA began this 100% CPU loading

How can I fix this ?
