From File menu select save as.
If you have Proj 2002 you will see a small "tools" menu in the upper right.
Click this and then select general options then the password protection.
The steps are similar in Proj 2000 and 98, but I forgot what the dialog box
looks like and what the command is called. You can find it if you know it is
there though.
