Lets assume you have one server:
Windows 2003 with IIS and SQL with Project Server
You need one Windows 2003 license
You need one SQL 2000 license
You need one MS Project Server license
For each "project manager" you need
MS Project 2003 Professional which comes with:
(a) MS Project 2003 Professional license
(b) PWA (Project Web Access license
Which means all Project Users do not need
to get additional licenses.
All users need to get CALs.
For example, lets say you have:
3 people who uploads projects or resourse pool to Project Server
30 users who report time, look at, or otherwise access PWA
You need to buy 30 CALs.

Now:
Lets assume you have two servers:
Windows 2003 with IIS with Project Server
Windows 2003 with SQL
You need two Windows 2003 license
You need one SQL 2000 license
You need one MS Project Server license
Everything else stays the same.
