Question about Windows XP pro purchase

I know someone that is selling Windows XP pro.It`s brand new.Everything is
there,instruction booklet, holographic CD,product key5/5digit groups,and
box.It does not have the COA.Is this an issue?Should I not buy?The price is
very reasonable.Any help would be appreaciated.
