Referenced Memory Error on Project File

I am trying to open a project file and getting the message "the instruction
at 0x77f5674b" referenced memory at "0xfffffff8". the memory could not be
"read" Click OK to terminate. The file locks up. I can not open the file.
Any ideas on what this is?
