source file contains invalid project

While upgrading from Project 2003 to Project 2007 out IT department failed to
close the project I was working on. The project is password protected and
saved to our shared drive. After the upgrade I was able to open the file,
make changes and save the file. The next day I received "password invalid".
I tried to open as read only and I receive:
"The operation cannot be completed because the source file contains invalid
project data or the total number of rows would exceed the limit of 1,048,000
rows in a project.
Validate the data in the source file, insert fewer rows, delete some rows,
or consider dividing your project into subprojects to provide more space for
tasks and resources."
I am able to open other Project files so I'm thinking leaving it open during
the upgrade caused the problem. But I also see I'm not the only one. My
problem is I cannot even open it as Read Only.
I tired renaming it, I tried inserting it, I tried Micorsoft Office
Diagnostics (which did find and fix one error but it doesn't tell me what
error was fixed.

Any other suggestions?

Hi Rita,

Welcome to this Microsoft Project newsgroup :)

You seem to have taken the usual recovery steps - you might like to try the
suggestions in FAQ Item: 43. Handling project file corruption and/or bloat.
Otherwise - you do have a backup, don't you?

The situation you describe should not have caused this issue.

I believe you are encountering a bug that was fixed in SP1.

From the article (KB942386):
Error message when you use Project 2007 to try to save a file that is
protected with a password and that was created in Project 2003: "The
password is incorrect"

You use Project 2007 to open a file that was created in Project 2003.
This file is protected with a password. You try to save the file in
the Project 2007 file format. However, you receive the following error
message:
The password is incorrect
