Trying to open a *.vsd return error 2132 Action 1002. Any ideas

Visio Internal error #2132
Action 1002: Open
First try closing and re-opening the file, next try re-starting visio.

I did both of these and still can't open the file.

step one, can it be opened by any other system
step two, are you running into a version issue (visio can read down, not up;
i.e v2002 can read v2000 not v2003)
