Up'd to WINPRO -OFFICE no follow -install stopped -error#239~Help?

Tryin' to do (v. late) upgrading of old desktop. Having problems. I have
the OFFICE 2000 CD, but it stops setup (from Win `95) at same place each
time, (error 239 is all the info it gives). AND, I couldn't find any
"UPDATE"exec's or anything like that. NEED to keep old WORD files as well.
(Really NEED)! Suggestions?!?
