uploading the same document- versions

I uploaded a document to project web. Then I my desktop I made a change to
it when I went to upload it again. I deselected the 'overwrite' checkbox
and picked the same file. I recieved an error that basic said "Form
Validation Error - there is already a file that exists with that name.
Why doesn't it create a new version? (The modified setting is set to create
versions if you modify the document)

Yes you'll get that error message if you uncheck that 'overwrite existing
file' option.

If you keep that option checked & then try to upload it, sharepoint will
automatically keep the old version of the same file.

You can check the old versions of a document by moving mouse over the
filename in the Sharepoint list. That will show you a drop down for that file
on the right of that filename. Selecting 'Version History' will show you all
versions fo that file if there are any.

I left the 'overwrite' checked and I do NOT see multiple versions. I also
do not see anything about 'version history'

You might have Document Versions set to No.

1. To confirm that go to you document list.
2. Under Actions on left click 'Modify settings and columns'
3. Under General Settings click 'Change general settings '
4. Infront of Document Versions make sure the option 'Create a version each
time you edit a file in this document library?' is set to 'YES'
5. Click OK
