VERY URGENT - Please help - Problem migrating from Project Server 2002 t0 2003

Hi,

We are trying to migrate our existing Project 2002 server to Project 2003.
However we have run into some issues...

Currently we have a two server setup running STS on a Windows 2K Server.
That same box has Project Server 2002 running on it. The second box is our
DB Server with Analysis Services.

We want to migrate to a 3 server setup with WSS running on a new Windows
2003 Server, Project Server 2003 running on the Windows 2K Server (as above)
and the DB Server as is.

We have run the scripts to update the DB - so far so good.

We have installed WSS on our Windows 2003 Server box.

Now we need to migrate our STS data to WSS.

We have a full copy of Office XP Pro installed on the Win2K Server (STS),
along with .NET framework and OWS1002.exe.

We are logged in as Administrators on both servers.

But when we try to run PSMIGRATE we get the error "File or assembly name
Microsoft.Sharepoint, or one of its dependencies, was not found."

Does anyone have any ideas on how we can resolve this please .....
