When you see the term OEM, it means a version w/o the box
or manuals. It's a version made to system integrators
(like compaq, hp, etc) to be installed on the new systems
they sale. It works the same, just make sure you're
getting it from a legal source and it comes w/ original
cd's and original product key/serial number sticker on it.
The original CD has 3 dimensional marks on the center of
the cd, when looking at the back of the cd, or where the
data is recorded. it shows the wordS GENUINE, MICROSOT,
VALID, OFFIE and the Microsoft logo. All this is IN the
cd, it's printed into the cd, it's not a sticker.

You're wrong. It doesn't "work the same" as far as the licence goes. It may
NOT be sold - or transferred - without the original hardware, it cannot - in
the case of Office - be installed on more than one system (the retail
qualifies you to installation on 1 desktop and one laptop) it does NOT
qualify you for MS support and, in some cases, it is not a valid qualifying
product for an upgrade.

FWIW, MS doesn't exclude OEM copies of MS Office
from being valid qualifiers for purchasing a
boxed retail upgrade copy of successive versions of
MS Office. http://microsoft.com/office/howtobuy/upgrading.asp
Presumably MS will continue that into Office 2003 as well.
