What is Windows Vista Ultimate Upgrade w/SP1 and do I need it?

Hi,
I am looking to by the office 2007 Ultimate as I am a college student. I
see that the Vista Ultimate Upgrade w/SP1, is a separate purchase. Is it the
ultimate with the w/SP1 upgrade or is it something I have to purchase after
the Ultimate to make it work? Anyone that could clarify this for me I would
be thankful.
