Why do I receive an error 1326 During Office XP Uninstall

I am trying to upgrade from Office XP to Office 2003. I choose upgrade, and
I will receive an error 1326 during install. I choose all the defaults
during install, I am logged into an administrator account, and I have my
virus scanning software turned off. Here is the actual error:

Error 1326. Error getting file security:
C:\Progra~1\Micros~2\Office 10\Access~1\Get Last error: 2
