Wrong dates produced when linking between files

I am trying to link a cell to a date cell in another worksheet and the date Excel is returning is off 4 years and a day. For example, I want to link to a cell which contains "1/31/04" formatted like I typed. The link returns the value "1/30/00". No matter how I format either cell, it always come out that way. I also tried doing the reverse, linking from the destination worksheet to the source worksheet. That added a day and 4 years....8/31/04 became 9/1/08!!! I wonder if this pertains to leap year in any way. I also made sure both files were in the same version of Excel. Can anyone please help!?!?
